1. INTRODUCTION AND LEGAL STATUS
Welcome to World Golden Gate Virtual Assets Broker & Dealer Services L.L.C ("WGG"), a regulated virtual asset broker-dealer operating under the oversight of the Dubai Virtual Assets Regulatory Authority (VARA). Our legal entity is incorporated in the UAE under Trade License No. 1417358, headquartered at Hilal Salim Bin Tarraf building, Office 214Al Wasl, Dubai, UAE.
WGG offers access to a digital platform for spot and OTC crypto/virtual assets trading. These Terms govern your use of our website and related services. By accessing the site, you agree to be bound by this agreement and our Privacy Policy.
2. ELIGIBILITY AND USER RESPONSIBILITIES
To use our platform, you must:
Be at least 21 years of age (or the legal age of majority)
Have the authority to enter into a legally binding agreement
Not appear on any sanctions list or be from a restricted jurisdiction
Not use the platform for any illegal or unauthorized activity
You are solely responsible for complying with all relevant laws, including those relating to tax, digital assets, and financial regulation.
3. NATURE OF SERVICES AND RISK DISCLOSURE
WGG provides a non-custodial, execution-only platform for:
Spot market trades (market orders, no limit orders)
OTC trades (principal and agency models)
We do not offer portfolio management, custody, staking, or advisory services. Trading digital assets is inherently risky and may result in substantial or total loss.
By using the platform, you confirm that:
All transactions are self-directed
WGG does not act as your fiduciary or financial advisor
You bear full responsibility for your trading decisions
4. INTELLECTUAL PROPERTY AND PLATFORM USE
All content and materials on the WGG platform, including software, branding, designs, and trademarks, are the intellectual property of WGG or its licensors.
You may not:
Copy, distribute, or modify the platform or its content
Use automated tools (e.g., bots or scrapers)
Reverse engineer any part of the system
Attempt to bypass security or manipulate features
5. PRIVACY, DATA USE, AND ANALYTICS
WGG is committed to respecting your privacy and ensuring regulatory compliance. To meet our KYC requirements, we collect necessary personally identifiable information during onboarding, including documents such as your passport, Emirates ID, visa, national ID, and bank statements, as mandated by law.
In addition, to enhance security and analytics, we may also collect non-personally identifiable information such as blockchain addresses, transaction metadata, and interaction data.
We further utilize third-party tools like Google Analytics and specialized blockchain monitoring software to detect and prevent any suspicious activity. For full details, please refer to our Privacy Policy.
To support our operations and meet all regulatory obligations, we partner with several trusted third-party service providers. Specifically, we use

6. PROHIBITED ACTIVITIES
You agree not to engage in:
Market manipulation (e.g., wash trading, spoofing)
Illegal financial activities or fraud
Cybersecurity attacks or systems disruption
Violation of any VARA or global AML/CFT regulations
We cooperate with regulatory and law enforcement agencies and may report any suspected misconduct.
7. MARKET CONDUCT AND TRADING PRACTICES
Users must adhere to WGG’s Market Conduct standards and VARA’s Market Conduct Rulebook. You are expected to:
Submit accurate information
Trade in good faith
Not interfere with fair price formation or system performance
Violations may result in reporting to VARA and permanent account suspension.
8. TRADING INTERRUPTIONS AND REFUNDS
WGG may interrupt services in the event of:
Cyber threats or technical failures
Market volatility or liquidity shortages
Regulatory orders or compliance reviews
Refunds may be considered in rare cases but are not guaranteed. Withdrawal delays may occur due to compliance or network conditions.
9. NO INVESTMENT ADVICE OR CUSTODIAL SERVICES
WGG does not:
Offer financial advice or recommendations
Hold user assets in custody
Guarantee price accuracy or trading outcomes
Users must manage their private wallets and security measures. All decisions are at their own risk.
10. REGULATORY COMPLIANCE AND USER OBLIGATIONS
By using WGG’s platform, you agree to comply with:
VARA rules and UAE laws
AML/CFT obligations
KYC requirements where applicable
You also confirm that your funds and digital assets are lawfully sourced.
11. INDEMNIFICATION AND LIABILITY LIMITATIONS
You agree to defend and hold WGG harmless against any claims arising from:
Breach of these Terms
Your use of the platform or services
Third-party reliance on your activities
WGG is not liable for:
Loss of profits, business, or trading opportunities
Platform downtime or technical failure
Third-party content or external links
Our total liability is capped at the higher of $100 or the fees you paid in the past 12 months.
12. SUSPENSION, RESTRICTION, AND TERMINATION
WGG may restrict or suspend your access due to:
Regulatory changes
Risk of fraud, money laundering, or sanction breaches
Repeated system abuse or suspicious behavior
Users may also cancel accounts but remain responsible for all obligations and open transactions.
13. AMENDMENTS AND ENTIRE AGREEMENT
We may update these Terms at any time. Continued use of the platform signifies your agreement to the latest version. These Terms constitute the full understanding between you and WGG and override any previous communication.

15. GLOSSARY OF TERMS
To promote clarity and transparency, WGG provides the following definitions as used in these Terms:
AML (Anti-Money Laundering): The framework of laws, regulations, and procedures aimed at preventing criminals from disguising illegally obtained funds as legitimate income.
CFT (Counter-Financing of Terrorism): Measures taken to prevent financial systems from being used to fund terrorist activities.
Client or User: A person or legal entity that accesses and utilizes the services provided by the WGG platform. This includes any individual or organization that registers for an account, undergoes necessary KYC procedures, and agrees to be bound by these Terms.
Subject: In the context of data protection and regulatory compliance, the "Subject" refers to the individual whose personal data is processed by WGG. This term is frequently used in data privacy regulations to denote the person for whom the personal information is collected, stored, and processed.
Digital Assets: Cryptographic tokens or virtual assets such as Bitcoin, Ethereum, or stablecoins that are supported by WGG.
Execution-Only Platform: A platform that enables clients or users to place their own orders without receiving any financial advice or portfolio management services.
KYC (Know Your Customer): The process of verifying the identity of clients or users, including the assessment of their source of funds and the nature of their business activities, in order to fulfill regulatory and compliance obligations.
KYB (Know Your Business): The process of verifying the legitimacy, background, and operational structure of a business entity, including its ownership, financials, and compliance with regulatory standards.
Travel Rule: A regulatory requirement that mandates financial institutions and virtual asset service providers to share key information—such as sender and recipient details—with each transaction, ensuring transparency and aiding regulatory oversight.
OTC (Over-the-Counter): A method of trading digital assets outside of formal exchange infrastructures, typically involving direct negotiations for large-volume or customized orders.
Spot Trading: The immediate or near-immediate execution of digital asset trades at prevailing market prices.
User Consent: The explicit agreement provided by the user—either electronically or by continued use of the platform—acknowledging and accepting WGG’s policies and terms.
Customer Due Diligence: The process of gathering, verifying, and assessing information about clients or users to evaluate their risk profile and ensure compliance with regulatory obligations.
Personal Data: Any information relating to an identified or identifiable natural person as defined by applicable data protection laws; this includes, but is not limited to, names, identification numbers, contact details, and other sensitive information.
Personal Data Breach: A security incident in which personal data is inadvertently or unlawfully accessed, disclosed, altered, or destroyed, potentially compromising the privacy rights of individuals.
Politically Exposed Persons (PEPs): Individuals who hold or have held prominent public functions—or are closely associated with such persons—and who may present a higher risk for potential involvement in corruption or bribery due to their public profile.
Privacy Notice or Notice: A public declaration that outlines how WGG collects, uses, stores, shares, and protects personal data, as well as detailing the rights of individuals regarding their data.
Processing: Any operation or set of operations performed on personal data, whether automated or manual, including collection, recording, organization, storage, alteration, retrieval, disclosure, or erasure of data.
Third-Party Processors: External service providers contracted by WGG to process personal data on our behalf in accordance with applicable data protection laws, and under strict confidentiality and security obligations.
